Vireo Growth Announces Acquisition of Planet 13 Holdings, Unifying Las Vegas Superstore Assets

LAS VEGAS, NV — Multi-state cannabis operator Vireo Growth Inc. (OTC: VREOF) has entered into a definitive merger agreement to acquire Planet 13 Holdings Inc. (OTC: PLNH), bringing one of Las Vegas’s most iconic retail dispensary operations under unified corporate ownership.

The transaction represents one of the largest regional consolidations in the post-secondary commercial cannabis market.

Expanding Footprint Along the Resort Corridor

Under the terms of the agreement, Vireo will acquire all issued and outstanding equity of Planet 13.

The acquisition adds Planet 13’s flagship 112,000-square-foot dispensary superstore—situated adjacent to the Las Vegas Strip on Desert Inn Road—to Vireo’s state portfolio. The deal also incorporates Planet 13’s recently debuted cannabis consumption lounge, DAZED!, an active distribution license, and 45,000 square feet of active local cultivation and production capacity.

Strategic Consolidation and Market Positioning

The board of directors of both companies unanimously recommended approval of the merger following a review by an independent special committee.

Upon completion of pending state regulatory approvals, Vireo will operate 17 dispensaries in Nevada alone, supported by expansion capabilities for up to 2.3 million square feet of cultivation capacity statewide. Nationally, the combined entity will span over 265 retail dispensaries across 15 states.
